1. Agreement to Terms

By accessing or using The Growing Tech's website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services Description

The Growing Tech provides the following services:

• Software application development
• Website design and development
• Mobile application development (iOS and Android)
• AI chatbot solutions
• Digital marketing and growth services
• Product development and consulting

3. Service Agreement

Specific terms for each project will be outlined in a separate Service Agreement or Statement of Work (SOW). The Service Agreement will include project scope, deliverables, timelines, payment terms, and other project-specific details. These Terms of Service supplement any Service Agreement between you and The Growing Tech.

4. Intellectual Property Rights

Unless otherwise specified in a Service Agreement:

• Upon full payment, you own the final deliverables created specifically for your project
• The Growing Tech retains ownership of all pre-existing materials, tools, and frameworks
• The Growing Tech reserves the right to showcase completed work in our portfolio
• All source code, designs, and materials remain property of The Growing Tech until full payment is received

5. Payment Terms

Standard payment terms:

• A deposit may be required before work commences
• Payment schedules will be outlined in the Service Agreement
• Late payments may incur additional fees
• Work may be suspended if payments are not received as agreed
• All fees are non-refundable unless otherwise stated in the Service Agreement

6. Client Responsibilities

As a client, you agree to:

• Provide necessary information, materials, and access in a timely manner
• Respond to communications and provide feedback within agreed timeframes
• Ensure all content provided is legal and does not infringe on third-party rights
• Make payments according to the agreed schedule
• Cooperate in good faith throughout the project

7. Warranties and Disclaimers

The Growing Tech warrants that:

• Services will be performed with reasonable skill and care
• Work will be original or properly licensed
• We will use industry-standard practices and technologies

EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.

8. Limitation of Liability

To the maximum extent permitted by law, The Growing Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or confidential information shared during the course of the project. This obligation continues even after the project completion or termination of services.

10. Project Changes and Revisions

Minor revisions within the agreed scope are included. Significant changes or additional features beyond the original scope may require additional fees and timeline adjustments. All change requests should be submitted in writing and approved by both parties.

11. Termination

Either party may terminate services under the following conditions:

• By mutual written agreement
• For cause, with written notice if the other party breaches these terms
• Upon non-payment or failure to fulfill obligations

Upon termination, you agree to pay for all work completed up to the termination date.

12. Indemnification

You agree to indemnify and hold harmless The Growing Tech from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your violation of any rights of another party.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Ontario.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
